Responsible for contract drafting and negotiating supplier agreements
The overall purpose of this position is to negotiate and approve in a timely fashion, contracts that accurately reflect business requirements while minimizing risk to CLIENT. The successful candidate will serve as an attorney and subject matter expert (SME) for Enterprise Contract Solutions team in Law (ECS), providing counsel, project leadership, guidance and support for the negotiation and processing of corporate transactions that meet the criteria of the Law Department's ECS Approval Authority.

The attorney in this position will: • draft contracts that accurately reflect the business transaction while minimizing risk to CLIENT; • be responsible for understanding legal implications of contract language for Network or supplier agreements and serving as the lead negotiator for contract terms for business units; • draft and negotiate multiple contracts including complex enterprise agreements that range in size, complexity and contract duration in consultation with advisory attorneys from the Law Department; attorney determine the appropriate contract template to use for a transaction and draft supplementary contract language; • ensure corporate policies and procedures are followed; and • collaborate with internal business partners and SMEs, including the attorneys in the Law Department, to draft and negotiate contracts. The attorney must be able to identify legal issues and risk and understand their impact to Client and on the transaction. The attorney will work with leadership from various business units. Specifically, the attorney will work closely with Strategic Sourcing to assist in the development of RFP's and RFI's and to develop business relationships with internal clients in conjunction with the Strategic Sourcing and Category Management teams to develop best practices. The attorney is responsible for the use of the Client contract management repository for the purposes of managing workflow, tracking contracts and retaining accurate contract records. The attorney must possess excellent presentation, communication, and leadership skills.
