Principal Responsibilities:
• Prepare, draft, redline, and negotiate complex and technical agreements, including those requiring specialized subject matter expertise, nonstandard risk mitigation solutions, and coordination of multiple arrangements.
• Serve as a Subject Matter Expert to other business areas, providing direction and expertise related to contractual matters and contract interpretation.
• Focus on nonstandard, complex, and technical agreements.
• Exhibit a customer service focus, enabling internal customers to succeed in contract negotiations in a manner consistent with the Firm's risk profile, while protecting the Firm's interests.
• Utilizing Strategic Sourcing principals and methodologies: (1) support the development and facilitation of RFP's and proposed agreements for medium to high complexity sourcing projects; (2) balance stakeholder relationship pressures with need to obtain best pricing and service and bringing sourcing negotiations to a close; (3) apply strategies for procurement categories and legal processes and mechanisms according to Firm guidelines; and (4) utilize leading industry methods and measures to facilitate optimum balance of cost and quality in all proposed agreements.
• Liaise with Vendor Risk Management, Control Groups, and Subject Matter Experts to ensure suggested terms are addressed in proposed agreement negotiations.
• Keep current with law, regulations, and regulatory guidance as needed to integrate appropriate terms into proposed agreements and provide upkeep to Contract Templates and Standard Clauses.
• Conduct analysis of post-contract formation issues for stakeholders or Procurement.
• Strategic special projects in support of departmental and Firm-wide initiatives.
• Perform other duties as assigned.
• Undergraduate degree in Business, Finance, or related field. JD required.

**Prefer someone with law degree is very helpful
