Corporate and Compliance Paralegal

KEY AREAS OF RESPONSIBILITY:


Corporate / Subsidiary Maintenance

§ Maintain domestic corporate records, including minute books and general records
§ Coordinate and document annual general meetings of domestic subsidiaries and prepare and assist with annual corporate filings
§ Maintain and provide training on Client's electronic subsidiary database (currently using Blueprint)
§ Coordinate with, support and assist Client's non-US counsel and personnel with respect to regular non-US subsidiary maintenance and governance matters, including annual general meetings and annual financial statement approvals
§ Support and assist Client's Tax team, US and non-US counsel and personnel, and outside counsel in connection with special projects, including legal entity mergers, dissolutions, formations and rationalizations
§ Coordinate relationships with non-US third-party corporate services providers
§ Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents as needed
§ Assist, as needed, with regular SOX compliance and audit processes
§ Assist, as needed, in M&A activities, including supporting corporate due diligence and cleanup matters, and closing process and record-keeping
§ Support document filing policies and procedures in Law Department
§ Assist in other special projects as assigned by Law Department attorneys

Ethics and Compliance

§ Monitor ethics and compliance AlertLine mailbox, and assist with actioning and responding to complaints to the mailbox, including input into and regular updates of Navex system
§ Assist with quarterly compilation of ethics and compliance statistics and preparation of materials for board and committee presentations
§ With oversight from Ethics & Compliance Officer, manage annual global online Code of Conduct certification process, including periodic course content updates, translations, completion and exceptions lists, FAQs, website posting and testing in English and other languages
§ Maintain files for domestic and global privacy filings, and templates for filings
§ Maintain FCPA due diligence Sharepoint
§ Assist in other special projects as assigned by Ethics & Compliance Officer

Qualifications:
BASIC QUALIFICATIONS:

§ Bachelor's Degree
§ The ideal candidate will have at least four years of experience in a major law firm as a corporate paralegal, with additional experience in-house at a public company
§ Experience supporting transactional work is desired
§ Experience with, exposure to, or a desire to learn to support, an ethics and compliance program is desired
§ High proficiency in Word, Excel and PowerPoint

§ Is able to work independently and manage multiple ongoing projects in a fast-paced, dynamic environment
§ Has strong organizational skills and is detail-oriented
§ Demonstrates strong judgment as to priority of matters requiring attention from lawyers
§ Has excellent interpersonal skills and can interact well with lawyers and clients
§ Must have the highest level of integrity and business ethics
