A real estate investment management firm, with headquarters in New York City, is seeking a qualified individual to provide support for an attorney in all stages of preparation of corporate filings, charter documents and corporate housekeeping. Knowledge of commercial real estate transactions (multi-family, office, industrial and lending) is a plus. Willing to train individual with related experience currently in administrative/support role who desires advancement.

Job Description

Responsibilities will include:
  • Provide general administrative support
  • Assist in preparation of all documents required to form corporations (162 Active), limited liability companies (225 Active), limited partnerships (129 Active)
    • Prepare By-Laws; Written Consents; Stock Subscription Agreements, etc.
    • Assist corporate services vendor with annual filings, domestic and foreign jurisdictions
    • Interact with Accounting and Tax Departments to maintain status with various jurisdictions in which the firm operates
    • Order corporate kits
    • Qualify entities in other states as needed
  • Prepare Property Management Agreements
  • Support internal clients and outside counsel with transactions
  • Track active entities and dissolve and/or withdraw inactive entities
  • Maintain corporate minute books and files for 500-600 current entities in both the file room and on computer database
  • Maintain a log of all Service of Process received from registered agent
  • Proofreading legal documents
Requirements
  • 3+ years of corporate housekeeping and legal support experience in a law firm or in-house legal department
  • Requires excellent judgment, problem solving skills with ability and confidence to interface with senior management and staff
  • Excellent project management, time management and organizational skills
  • Solid computer competencies
  • Strong interpersonal and communication skills
  • Ability to work independently and ability to handle self-driven projects efficiently
