Prepare, negotiate and execute ISDA Master Agreements and associated agreements (including Credit Support Annexes, guaranties, tri-party account control agreements, and confidentiality agreements, where applicable) on behalf of our client’s group entities.  This includes a full appreciation of the linkage and coordination of this function globally.
•          Define and communicate the outstanding issues arising from the negotiations with the relevant business groups (including the Client Onboarding team) and control areas to obtain a resolution.
 
•          Advise Credit Risk Management and business units on credit and business related provisions in the ISDA Master Agreement and Credit Support Annex.
 
•          Where relevant, obtain, analyze , and put into practical use advice from US and foreign law firms pertaining to specialized counterparties or to advise stakeholders on legal risks.
 
•          Manage the negotiation process as it relates to the Negotiator’s client portfolio to ensure timely execution of ISDA Master Agreements.
 
•          Supervise paralegals who are responsible for performing the legal diligence for clients to enter into derivatives transactions and reviewing the relevant ISDA provisions, credit and collateral terms entered into the Firm’s documentation management system to ensure data integrity as it relates to the Negotiator’s portfolio.
 
•          Perform all such responsibilities and projects as assigned by General Counsel division management.
 
  • Excellent client service and internal coordination skills.
  • Strong analytical, drafting, and communication skills.
  • Ability to collaborate closely with stakeholders from different disciplines, GC colleagues, and within a team.
  • Knowledge of insolvency law or secured transactions law or prior experience working with funds or in asset management is a plus.
  • 3 – 5 years negotiation experience with ISDA Master Agreements and other related documents
